1. Provider and professional scope
This version governs new subscriptions accepted after publication. Identifying the company does not retroactively transfer earlier contracts, invoices or acceptances; any transition of earlier contracts will be communicated and accepted separately.
A Tua Gestão is intended for professionals, self-employed people and businesses acting in their professional capacity, initially in Portugal and the United Kingdom. Incorporation or VAT registration is not required. By subscribing, the customer declares professional use, personally or with authority to bind the named entity. This declaration is recorded and enables the normal subscription flow; evidence may be requested where there are inconsistencies or special tax treatment is sought. Other countries require prior assessment. These Terms are not intended for exclusively personal consumer use and do not exclude mandatory rights applicable to the customer's actual situation.
2. Service, account and use
The platform provides operational management features according to the subscribed plan and its limits catalogue. The customer is responsible for the accuracy of supplied data, credentials, invited users and the legality of data and communications managed through the service.
Illegal, abusive or fraudulent use, infringement of third-party rights, circumventing plan limits, introducing malicious code or compromising platform security and availability is prohibited.
3. Trial, subscription and renewal
When advertised at checkout, the trial lasts 14 days and requires a valid payment method. Unless cancelled before the end of the trial, the subscription automatically converts to the selected plan and is charged on day 15. It then renews automatically each month until cancelled.
Trial eligibility may be limited to one use per owner, entity or Stripe customer. Plan changes take effect as described before confirmation.
4. Price, VAT and invoicing
Plans are billed monthly in EUR; advertised prices exclude VAT. The total and any tax are shown before confirmation at checkout. Customers provide and maintain their correct legal name, country, address and VAT identification where applicable. Currency conversion charged by the customer's bank is separate from the service price.
The provider is not registered for UK VAT and does not charge it to UK customers. In Portugal, a VAT number and matching identity/address validated through VIES enable reverse charge. Without a valid VAT number, Portuguese VAT applies through the Irish non-Union OSS scheme (reference EU372106359, legal registration from 1 October 2026): 23% on the mainland, 22% in Madeira and 16% in the Azores. A professional-use declaration or pending registration does not grant reverse charge or another exemption. An invalid number can be corrected or removed to purchase with VAT. VIES unavailability or an identity mismatch requires resolution before purchase. Tax treatment is revalidated before each renewal: an invalid number switches to regional VAT; unavailability suspends invoice finalisation and collection until resolved. Address and VAT number are updated in A Tua Gestão for revalidation and are locked in Stripe Checkout and Portal. Approval of a review does not collect payment or start a subscription, and applies only to the reviewed data and policy version. Tax changes affect subsequent transactions without excluding legally required corrections of earlier errors.
The company is the seller; Stripe processes payments and issues subscription invoices in its name, and is not the Merchant of Record. Xero is used for the company's accounting without sending the customer a second invoice for the same transaction. Invoices and corrections contain issuer and recipient identification, numbering, dates, amounts and applicable tax treatment. A payment receipt does not replace an invoice.
5. Cancellation, non-payment and suspension
Customers can cancel renewal through the billing portal. Cancellation takes effect at the end of the paid period unless required by law or otherwise indicated at cancellation. There is no automatic refund for partly used periods, without prejudice to billing corrections or legal obligations.
Non-payment, fraud, security risks or a material breach of these Terms may lead to restriction, suspension or termination of access, following notice where reasonably possible.
6. Availability, maintenance and changes
The service is provided with professional diligence, without a guarantee of uninterrupted operation. Maintenance, incidents and third-party dependencies may occur. Material changes adversely affecting the contracted service will be communicated with reasonable advance notice where possible.
7. Personal data
For account, billing, security and commercial relationship data, the provider is the controller under the Privacy Policy. For personal data entered by customers about their own clients, staff or contacts, the customer is the controller and A Tua Gestão is the processor. The Data Processing Addendum forms part of these Terms and governs that processing.
8. Intellectual property
The provider retains rights to the platform, brand, software, documentation and improvements. Customers retain rights to the data they enter and grant only the permissions needed to provide, protect and technically improve the service within the contracted purposes.
9. Liability
Each party is liable for direct damage caused by breach of its obligations. To the extent permitted and considered reasonable under applicable law, the provider's aggregate contractual liability is limited to subscription amounts paid in the 12 months preceding the event giving rise to the claim. This does not exclude liability for wilful misconduct, gross negligence, fraud, death or injury caused by negligence, or mandatory data protection rights or liabilities. An invalid provision does not affect rights granted by law.
10. Duration, termination and data
Workspace data after cancellation
During the subscription, workspace data are processed to provide the service. After effective cancellation, access is disabled and normal operational retention is 60 days. In the first 30 days after termination, owners can request data return or assisted export through admin@atuagestao.com; this does not preserve interactive access to the cancelled workspace.
At the end of retention, deletion rechecks cancellation and any legal retention obligation, disables resources and deletes the dedicated database. Failures are monitored and retried; a legal obligation may suspend deletion. Billing, acceptance and audit records follow their own legal purposes and are not deleted by this process.
The backup policy limit is 90 days after termination. The currently verified recovery window in the workspace’s Neon project is seven days, which is not a guarantee about every internal provider copy. Backups are not reused for normal operations; deletion instructions are reapplied after disaster recovery.
11. Communications and contractual changes
Operational communications use authenticated channels and verified contacts. Material changes to the Terms will show the new version and date. Existing customers receive separate notice to review and accept the final version; retroactive acceptance is neither presumed nor recorded.
12. Additional professional services
Website building, migration, onboarding, feature development and custom projects require a separate written proposal specifying scope, deliverables, price, acceptance, intellectual property and data responsibilities. They are not included in the subscription unless expressly stated. The platform does not provide accounting or represent customers before tax authorities.
13. Applicable law and disputes
This professional contract is governed by the law of England and Wales. The parties first seek to resolve disputes through the verified operational contact; failing agreement, the courts of England and Wales have jurisdiction, without excluding mandatory rules or jurisdiction that cannot be varied by contract. This does not restrict complaints to data protection authorities or data subject rights.
